Alfasigma has agreed to acquire Nordic Group B.V. from SEVER Life Sciences B.V., in a transaction that would strengthen the Italian pharmaceutical company’s presence across Europe and expand its international speciality-care portfolio. For the ophthalmology sector, the proposed acquisition is particularly significant. Nordic Pharma has an established and growing eye-care business that includes Lacrifill® Canalicular Gel, a treatment developed to manage dry eye disease. The transaction remains subject to customary closing conditions and any required regulatory approvals. Completion is currently expected by the end of the fourth quarter of 2026.
Under the share purchase agreement, Alfasigma will acquire Nordic Group B.V. from SEVER Life Sciences. Nordic Pharma operates internationally across several specialist therapeutic areas, including ophthalmology, rheumatology, women’s health and critical care. The proposed acquisition combines Nordic Pharma’s established European presence and specialist product portfolio with Alfasigma’s international commercial reach, scientific expertise and acquisition-led growth strategy. Alfasigma distributes products in more than 100 markets worldwide and has identified speciality care and rare diseases as important areas for continued expansion. The Nordic Pharma deal would further strengthen its position in Europe while broadening the range of therapies within its portfolio.
Nordic Pharma has been building its international ophthalmology presence through products designed to address specific unmet needs in eye care. A key part of this portfolio is Lacrifill® Canalicular Gel, which was launched in European markets in February 2026 following CE mark approval in April 2025. Lacrifill® is intended to support the management of dry eye disease by temporarily blocking tear drainage through the canalicular system. Its addition would give Alfasigma an entry point into a significant area of ophthalmic care and add a differentiated product to its wider speciality pharmaceutical portfolio. Dry eye disease remains a major focus for the eye-care industry, driving continued demand for treatment options to support patients with persistent symptoms. The acquisition therefore gives Alfasigma exposure to an established and commercially important ophthalmology category while providing Nordic Pharma’s portfolio with the backing of a larger global pharmaceutical organisation.
Nordic Pharma has affiliates across major European markets and an established network of international commercial partnerships. Bringing this footprint into Alfasigma would extend the company’s reach and create further opportunities to develop and commercialise specialist products across multiple territories. The deal also reflects continued consolidation within pharmaceuticals and ophthalmology. Companies are increasingly using acquisitions and strategic partnerships to add specialist expertise, enter new therapeutic categories and accelerate access to international markets. For Alfasigma, acquiring Nordic Pharma would represent more than a portfolio expansion. It would add established teams, regional infrastructure, and specialist market knowledge across Europe, supporting the company’s ambition to grow its international speciality-care business.
Alfasigma and Nordic Group will continue to operate independently until the transaction is completed. Customers, suppliers and commercial partners are expected to see continuity throughout the closing period. Subject to regulatory approvals and customary closing conditions, completion is anticipated by the end of Q4 2026. The ophthalmology industry will be watching how Alfasigma develops Nordic Pharma’s eye-care portfolio following completion, particularly the European growth of Lacrifill® and the potential for further investment in dry-eye innovation.
